Sample JD  – Chairman/Chairperson


(The chairman is appointed by and reports to the board of directors.)
1. Attends meeting and presides over board or executive committee
2. Contributes and provide guidance to vision and imagination at the highest level (normally working closely with the MD or CEO)
3. Chairs at general meetings, within which he

a. ensures orderly conduct;

b. fair and appropriate opportunity for all to contribute;

c. suitable time allocation per item;

d. determining order of agenda;

e. directing discussion towards consensus;

f. clarifying and summing up actions and policies

4. Acts on behalf of the organisation as its representative in its dealings

with the outside world

5. Takes a leading role in determining composition of board and sub-committees,

 so as to achieve harmony and effectiveness

6. Takes decisions as delegated by the board and where required chair board meetings.

7. Executes the responsibilities of a company director according to lawful and

ethical standards, as referenced in … (whatever director policy and standards document you might use).
